15.04.2026The Board of Directors reported on the Association’s activities in 2025

The Corporate Governance Professional Association (hereinafter referred to as the “Association”) held its regular General Meeting of Members, during which the Board of Directors presented a report on the Association’s activities in 2025.

During the reporting period, the Association continued its systematic work on developing corporate governance in Ukraine, focusing on professional education, interaction with government agencies, international cooperation, and the development of the expert community.

Key results of the Association’s activities in 2025:

🔹 Expansion of the community. New collective and individual members representing various sectors of the economy joined the Association, strengthening the Association’s expert base.

🔹 Interaction with government institutions. The Association actively collaborated with the NSSMC, the Ministry of Economy, Environment, and Agriculture (Ministry of Economy), the NBU, the State Property Fund of Ukraine, and other agencies, participating in discussions and shaping regulatory changes in the field of corporate governance.

🔹 Cooperation with local authorities and municipal enterprises. With the participation of the Association and the Ukrainian Corporate Governance Institute, the Mykolaiv City Council conducted a competitive selection process for three independent members of the Supervisory Board of the Mykolaivvodokanal Municipal Enterprise.

In Ukraine, the training module “Corporate Governance and Anti-Corruption Compliance at Municipal Enterprises” was launched. The Association developed it at the initiative of the Ministry of Communities in cooperation with the National Agency for Corruption Prevention (NACP) and with the support of the Multi-Donor Account for Stabilization and Sustainable Development of Ukraine (MDR), managed by the EBRD. 🔹 Educational programs. Throughout the year, the Association supported the implementation of training programs, specifically for board members, corporate secretaries, and anti-corruption compliance specialists. In 2025, 129 corporate directors, 98 corporate secretaries, and 48 compliance officers completed the training.

🔹 Professional events and expert discussions. The Association held a series of webinars, roundtables, and thematic meetings that brought together hundreds of participants and served as a platform for discussing key industry changes. In particular, the webinar “Boards of Directors in Ukraine: New Opportunities for Business and Careers,” a webinar on changes in the NSSMC’s regulatory environment, a webinar on the NBU’s corporate governance requirements for financial companies, a roundtable on remuneration in the public sector with the Ministry of Economy, and a roundtable titled “OECD Standards for Public Utilities”. Also, as is traditional, in the summer we gathered alumni of the”Corporate Director” program for the third Alumni Reunion, and in the winter for the 8th International Forum of Corporate Directors, which brought together about 200 participants—representatives of business, the public sector, and the expert community.

🔹 New practical initiatives. In 2025, the Association launched the “Board Test Drive” project, aimed at introducing best practices for the operation of supervisory and advisory boards in companies through the involvement of independent directors, fostering a culture of collegial strategic management, and assessing a business’s readiness to establish a fully-fledged supervisory board. The first project implemented under this initiative was a competitive selection of independent members for the Advisory Board of Pharmastor (the “Apteka Dobrogo Dnya” chain), which the Association carried out in partnership with Boyden Ukraine.

🔹 International cooperation. The Association continued its collaboration with international partners, including: ecoDa (European Confederation of Directors’ Associations) – Association members were regularly invited to participate in ecoDa events dedicated to key corporate governance issues in the EU; members of the Board of Directors participated in ecoDa events at the board level, engaging in professional dialogue with European colleagues; EBRD (European Bank for Reconstruction and Development) – two target groups—representatives of government bodies and female leaders of Ukrainian business—participated in specialized training programs on corporate governance; IFC continued integration of international experience into the development of corporate governance in Ukraine.

🔹 Social responsibility and support for military personnel. The Association continued to raise funds for the Corporate Directors Solidarity Fund to support military personnel and expand access to professional education, enabling the financing of 4 scholarships for military personnel to study under the “Corporate Director” program.

📌 Decisions of the General Meeting

In accordance with the approved agenda, the General Meeting of CGPA members adopted the following resolutions:

  • The Board of Directors’ report on the Association’s activities for 2025 was noted and approved.
  • The Audit Commission’s report was presented and approved.
  • The term of office of the current Board of Directors was terminated.
  • The number of Board of Directors members was determined.
  • The new composition of the CGPA Board of Directors was elected.
  • The composition of the Audit Commission was elected.
