Guidance papers

CGPA constantly works on developing guidance papers for its members. The guidance papers and other related materials promote the harmonization of Ukrainian legislation on corporate relations with relevant international law and facilitate its reform by using experience of developed democracies.​

Manual “Anti-Corruption Compliance” (second edition) (for CGPA’s Anti-Corruption Compliance Program)

The manual was developed within the project “Strengthening Anti-Corruption Compliance in Business” of the Corporate Governance Professional Association and the Centre for International Private Enterprise (CIPE). A Resource Guide to the US Foreign Corrupt Practices Act (FCPA)

Translation of the second edition of A RESOURCE GUIDE TO THE U.S. FOREIGN CORRUPTION PRACTICES ACT. SECOND EDITION. These are methodological materials that provide explanations of the US anti-corruption legislation. The translation and Ukrainian edition were made possible with the support of the Press, Education and Culture Section of the U.S. Embassy in Ukraine in 2022. By studying this publication, Ukrainian professionals, representatives of private and public companies, and organisations can receive helpful tips and recommendations on corruption prevention that can help them improve their business practices and reduce the risks of violating anti-corruption legislation.

Manual «Anticorruption Compliance» (for Training Program for Compliance Officers)

As a part of the project “Strengthening Anti-Corruption Compliance in Business” of the Corporate GovernanceProfessional Association (CGPA) and the Center for International Private Enterprise (CIPE), a manual “Anti-Corruption Compliance” was developed. The manual is intended for training programs for persons responsible for the implementation of anti-corruption programs in companies, namely: security officers, lawyers, internal auditors, specialists responsible for the internal control system, risk managers, corporate secretaries and anyone interested in this subject matter.

The manual was developed by experts from the Corporate GovernanceProfessional Association, including Oleksandr Okuniev, Chairman of the CGPA Management Board, Oleg Boyko, Independent Consultant on Corporate Governance, Risk Management, Ethics and Compliance (GRC), Serhiy Lukin, Director of the Center for Retraining and Advanced Training at the Kyiv Regional State Administration.

All materials used in the manual were tested during the development and implementation of the Training Programs for Compliance Officers.

CODE OF PROFESSIONAL CONDUCT OF CORPORATE DIRECTORS

The Code of Professional Conduct of Directors (hereinafter – the Code) specifies the principles to be followed by the members of the Supervisory Boards (non-Executive Directors) in the performance of their duties, and provides clarification of the principles.
This Code has been developed, approved and published by the CGPA in order to help the directors in the performance of their duties. Using the Code, all stakeholders can better understand the requirements for Directors, the principles of their appointments and evaluating their performance.

Guide “Compliance for SMEs”

Within the USAID project «Supporting Urgent Reforms to Better Ukraine’s Business Environment (SURE)», CGPA’s experts developed publication «Compliance for SMEs», which contains a number of explanations and recommendations on the development and implementation of business anti-corruption programs in the context of the Law of Ukraine «On prevention of corruption». The authors appealed to the collection of non-standard forms of presenting information – comic books, hoping that it will cause interest to new and difficult theme of anti-corruption compliance.

Manual «Corporate management for private and family companies»

All materials of the CIPE project «Improving corporate governance in private and family companies» are represented in Manual «Corporate governance in private and family companies» (published in 2012). CGPA CEO Alexander Okunev was the author of the manual. 
The manual includes materials generally called – «international standards of corporate governance for unlisted companies» – Principles of ECODA and Spanish Code of Corporate Governance for unlisted companies as well as examples of successful implementation of best corporate governance practices in companies in Brazil. The main part of the guide is the first in Ukraine Corporate Governance Code for private and family companies, based on the international standards and adapted to local legislation and business practices. Great practical importance may have a form that allows to do self-assessment of corporate governance in the private (family) company.

Manual «Anticorruption Compliance» (a guide for midsize companies, which are operating in emerging markets)

This CIPE guide is intended for medium-sized enterprises, which have not enough resources to ensure compliance. This guide aims to complement the knowledge required by board members, officials of the executive board of management, lawyers and managers of medium-sized enterprises to develop and implement an effective program of ensuring legal compliance and to capitalize the opportunities that emerge from access to global value chain.

Corporate Governance Code for Private and Family Companies​

Ukraine’s first Corporate Governance Code for private and family companies (hereinafter – the Code) was developed under the leadership of CGPA CEO Alexander Okunev. The Code is based on international standards and adapted to local legislation and business practices.

Corporate Secretary’s Professional Standard ​

Professional Standard of Corporate Secretary was prepared under the leadership of CGPA CEO Alexander Okunev. The objective of the standard is a development of common understanding in Ukraine the role and functions of corporate secretary, and its place in the JSCs. Therefore, the requirements for training and personal qualities of those who claim to the position in joint stock companies were elaborated. 

The current legislation of Ukraine, the Corporate Governance Principles approved by the Commission on Securities and Stock Market № 571 from 11.12.2003, materials from the international sources as well as experience of implementing corporate secretary’s position in Ukrainian companies were included in this Standard.

Guidelines for the development and implementation of anti-corruption policy

Within the project «Supporting Urgent Reforms to Better Ukraine’s Business Environment (SURE),» CGPA’s experts with the participation of experts of «Baker & McKenzie CIS Ltd» eleborated the draft of Guidelines on the development and implementation anti-corruption policy.
