On April 28-29, the Ukrainian Corporate Governance Institute conducted a training on corporate governance for members of the Supervisory Board, Management Board, and heads of selected structural units of UA: PBC JSC (hereinafter – UA: PBC).
The training was devoted to the effective implementation of measures to improve the level of corporate governance and enhancement of work on the improvement of internal communication systems.
“We are very pleased and proud of our cooperation with UA: PBC. Its peculiarity is its systematic nature – we are conducting training for the second cadence of the Supervisory Board of UA: PBC, as well as for the company’s top management. In addition, we helped our colleagues to develop and approve their own Corporate Governance Code, which is a very useful document that reflects the specifics of a public broadcaster. It is this kind of systematic approach that yields maximum results. I am convinced that our cooperation will continue, because the benefits are obvious,” said Oleksandr Okuniev, Chairman of the Board of Directors of the Corporate Governance Professional Association (CGPA).
The speakers of the training were: Volodymyr Igonin, member of the CGPA Board of Directors, partner of Vasil Kisil & Partners Law Firm, Natalia Lysa, member of the CGPA Board of Directors, Nadiya Pavlova, member of the NGO “Guild of Professional Internal Auditors of Ukraine”, Nadiya Vasylieva, member of the Supervisory Board of SE “Prozorro. Sale”.

But if your company is working, paying salaries and taxes, you are making an important contribution to the country’s economy, which brings victory closer. A company can become more efficient and sustainable with the help of corporate governance. Ukraine is gradually introducing good practices that work in economically developed countries into its legislation. And we at Vasil Kisil & Partners and CGPA are happy to help Ukrainian companies apply these practices to their advantage. UA: PBC is an example of a responsible and progressive approach to management and governance of a strategic enterprise with the state as a shareholder,” commented Volodymyr Igonin.

In addition, the Supervisory Board recommended that this year the members of the Management Board undergo corporate governance training. Let me remind you that UA: PBC was created on the basis of almost thirty state broadcasters, where management was in the hands of general directors. Today, UA: PBC is a large corporation that has a shareholder, a supervisory board, and a management board. This is a completely different governance mechanism, which needs not only to be known but also to be constantly improved. Of course, we are not a classic joint-stock company programmed to make a profit, but many of the provisions of the Law on Joint Stock Companies also apply to us. I was pleased to hear about all the innovations in the law. I think such trainings will help to make the work of our corporation more qualitative,” commented Svitlana Ostapa, chair of the Supervisory Board of Public Broadcasting.

At the same time, it is important to have a common understanding of the foundations and principles of the corporation. That is why I really appreciate the opportunity to study corporate governance together with the team and staff of the Supervisory Board and with the heads of the company’s specialized divisions. Of course, such joint work should be regular and comprehensive – we must take into account legal innovations, changes in the company’s workflow, and external challenges.
