The new Law of Ukraine “On Joint Stock Companies” (the “Law”) requires that the charters of joint stock companies be brought into compliance with its requirements by 2023. The Law requires a significant number of provisions of the charters to be revised, so we recommend that you do not postpone the changes until the end of the year, but start working now. We also suggest that you use this opportunity to make not only mandatory changes, but also other useful changes for the company. We have analyzed all the provisions of the new Law and are ready to discuss the following:

All provisions that require companies to regulate certain issues in their charters and/or regulations;
all provisions that provide for the possibility of establishing specific rules that differ from the provisions of the Law;
all the provisions that provide for the possibility of establishing that certain provisions of the Law do not apply to this company.

During the presentation, we will discuss what alternative options can be stipulated in the company’s internal documents, the pros and cons of implementing certain regulations in each case, and the mechanisms for their implementation.

We will be ready to provide post-event support to the participants, answering their practical questions that will arise during the implementation of changes.

❗For the first time in our history, we will provide the participants with specially developed texts of DRAFT CHARTERS of JSCs with one-level and two-level governance structures. These drafts can be used when developing new versions of JSC charters❗
