The Corporate Secretary training program was held from October 14 to 18, 2024, bringing together corporate governance professionals and becoming a valuable resource for participants in acquiring new knowledge and skills. The program covered the key topics necessary for the effective performance of the duties of a corporate secretary. It provided professionals with the tools to improve governance processes in their organizations.
The program began with lectures by Oleksandr Okuniev, Chairman of the Board of Directors of the Corporate Governance Professional Association, who covered the basics of corporate governance and detailed the role of the corporate secretary in the company, outlining the existing requirements for the position, competencies, and structure of the corporate secretariat in case of its creation. Volodymyr Igonin, Partner at Vasil Kisil & Partners and CGPA Board Member, presented topics related to major and related party transactions, covering legal aspects and possible consequences of non-compliance with the law.
The program continued with speeches by Natalia Shevchenko, Senior Associate at Ernst & Young, who spoke in detail about the competence of the General Meeting of Shareholders (GMS), the process of convening and holding remote GMS, which is especially relevant in the current environment. Shadi Saad, Managing Partner of Saad Legal, reviewed the court practice on general meetings of shareholders and provided his recommendations on questions from participants.
Iryna Pavlova, First Vice President of the Guild of Professional Internal Auditors of Ukraine, shared information on the peculiarities of the work of internal audit services and revealed the requirements for external audit in the current environment. Inna Martynenko, Deputy Director of the NSSMC Department, highlighted the regulatory framework for relations between issuers and the regulator, focusing on inspections and administrative practice. Olena Stupak, Executive Director of EMCON LLC and CGPA member, concluded the program with the topic of the main rules for disclosure of regulated information and financial statements by securities issuers and also conducted a workshop on the preparation and composition of special and regular information.
The program was attended by highly qualified representatives of various industries, including energy, aircraft construction, finance, and banking. The participants, who hold the positions of corporate secretaries, legal counsels, etc. in companies such as DTEK, ANTONOV, NPC Ukrenergo, and PJSC NPO Kyiv Automation Plant, gained invaluable knowledge that will help improve corporate governance in their companies and enterprises.
Due to the diversity of professional experience, the participants had the opportunity to exchange valuable knowledge and experience. All participants successfully passed the exam and received certificates.
