31.03.2017Implementation of the «Registry of Corporate Directors of the Corporate Governance Professional Association»

On the 30th of March 2017 Corporate Governance Professional Association (hereinafter CGPA) held a press conference about implementation of the«Registry of Corporate Directors of the Corporate Governance Professional Association»(hereinafter the Register).

The members of the Registry Advisory Board told about the Registry, the purpose of its creation and who can be included in it. The Registry Advisory Board is a special body, which forms and maintains the Registry.

Olena Voloshina, Head of the IFC in Ukraine,Igor Mitiukov, Chairman of the Board of JSC«National Depository of Ukraine»andAlexander Okunev, CGPA CEO, took place in the press conference.
At the beginning,Alexander Okunevidentified three main issues of the event: why the question of the corporate director appeared as a key figure in the management of joint stock companies, why now and why CGPA initiated this process.

Reform of corporate governance, which is currently carried out, introduces the independent directors in the supervisory boards of banks and companies in the real sector. New legislation foresees establishing committees of supervisory boards on audit, nomination and remuneration and other innovation activities of supervisory boards.
The registry is created to promote reforms in the management of public and private corporate sector, implementation of the best practices of corporate governance.
The register is formed by a special body – the Registry Advisory Board, composed of well-known and respected in the business environment persons who are not civil servants and do not take part in political activities.

Olena Voloshinasaid that she is very pleased with the fact that the initiative to create the registry was not imposed by donors, as usually happens in Ukraine, when it comes to implementation of new approaches in the business or operation of civil society, but Ukrainian businessmen and public figures initiate the process.«For IFC the corporate governance is a very important issue, since the late 90s we have been working on it. For now, it is very important, that the corporate governance issues for Ukrainian are not new, and most understand the difference between management and governance. Managers and business owners are aware that the right approach to the position of independent directors on the Supervisory Boards offers easier access to the capital markets, the yield on the stock exchange, so in many Ukrainian, even non-public companies, independent directors are incorporated into the supervisory boards.»Olena Voloshinanoted in her speech.

Igor Mitiukovnoted that provisions of new laws on corporate governance introduce the need of preparing managers of new generation, and the Registry would be an important tool in the process. He served 9 years in the Board of Directors of«Ferrexpo», which is listed on the London foreign exchange market as an independent director so he has extensive experience and knowledge and is happy to share it with others.

The registry is made up of individuals who under the laws of Ukraine have the right to be elected members of the supervisory boards.
The press conference was attended by over 25 media representatives, managers and members of the supervisory boards of Ukrainian companies. They actively participated in the discussion and asked a number of questions on the specifics of the process of admission to the Register, decision-making in the Registry Advisory Board, and made proposals to develop a clear mechanism for the possible exclusion or suspension in the Register of persons who in any way compromise themselves in their work.
In conclusion, the Board’s members noted that they are responsible for persons who will be included in the registry, and therefore stressed several times that the process of selection will be hold under the principle of consensus.
