
On Tuesday, March 14, 2023, a regular general meeting of members of the Public Union “Corporate Governance Professional Association” (hereinafter – the Association) was held.
At the opening of the meeting, Oleksandr Okuniev, Chairman of the Board, welcomed the participants who could attend the meeting.
Then Oleksandr Okuniev said that in 2021-2022, despite the tough conditions, the Association continued to work, constantly advising members, and sharing useful materials on corporate governance and anti-corruption compliance. As of the end of 2022, 172 representatives of Ukrainian companies, including 16 collective members, continued their membership in the Association.
The Association continued cooperating with its international partners – the International Finance Corporation (IFC) and the Center for International Private Enterprise (CIPE). In the spring of 2021, the Association, in partnership with the IFC, at the request of the EBRD, held a series of online seminars on “Corporate Governance for SMEs” for consultants and all stakeholders. In 2022, the Association, with the support of the EBRD, implemented a project aimed at professional development and advanced training in corporate governance for women leaders of Ukrainian small and medium-sized enterprises.
In 2021-2022, the Association actively cooperated with state institutions (the National Securities and Stock Market Commission (NSSMC), the State Property Fund of Ukraine (SPFU), the Ministry of Economy of Ukraine, and the National Agency for the Prevention of Corruption (NAPC): conducted joint training programs and seminars, promoted the development and improvement of legislation and regulations, conducted collaborative research, and advised on various issues of corporate governance and anti-corruption compliance.
In partnership with the Ukrainian Corporate Governance Institute, the Association held 51 events (32 online, eight offline, 11 in a mixed format): 6 professional development programs for members of boards of directors “Corporate Director”, five training programs for compliance officers “Anti-Corruption Compliance”, six training and professional development programs “Corporate Secretary”, 16 monthly webinars on corporate governance for subscribers of the Corporate Governance Information Package; 7 seminars and workshops on corporate governance, ESG, and compliance (562 participants); 5 online conferences (527 participants, about 1000 registrations); 3 roundtables on corporate governance and ESG (262 participants, over 500 registrations), one International Corporate Directors Forum (250 participants), a strategic session of CGPA members and partners (65 participants). In addition, four international programs were held (two programs for corporate directors from Kazakhstan, Uzbekistan, and Kyrgyzstan; one program for Kazakh entrepreneurs on corporate governance; one program for the development of board members for businessmen from Moldova).
In its activities regarding corporate directors, the Association continued to work on the National Registry of Corporate Directors (hereinafter referred to as the Registry) project, which was launched in the spring of 2017. Meetings of the Registry Board are held regularly, and the Registry’s website and profiles of its members have been updated. During the reporting period, six independent directors were included in the Registry. The Association continues to accept applications to the Registry and promote its members and follows the announcement of competitions for selecting independent members of Supervisory Boards.
Concluding his speech, Oleksandr Okuniev said that the Association would continue to work actively in its main areas of activity, looking for new ways to support its members.
During the general meeting, the Board of Directors and the Audit Committee of the Association were re-elected, the Charter, the Regulations on Membership, and the Regulations on Membership Fees were amended, and the Regulations on the Board of Directors were approved. After the General Meeting, the first meeting of the new Board of Directors was held, at which the Board members once again elected Oleksandr Okuniev as the Chairman of the Corporate Governance Professional Association.
