On June 20-23, 2018, the fourth Professional Improvement Program of the members of the Supervisory Boards “Corporate Director” was held. This program was adapted to the requirements of the Ukrainian legislation governing the activities of state-owned enterprises in the field of corporate governance, in particular, the specifics of the activities of supervisory boards in state enterprises and their members.
15 participants took part in the program. Among them there were 10 representatives of state-owned enterprises of the defence industry, in particular, the State Concern “Ukroboronprom”, PJSC “Kiev plant” Radar”, PJSC” Meridian”, JSC Ukrainian Research Institute of Aviation Technology, NAU. The rest of the audience was represented by banks and law firms.
Oleksandr Okuniev, the Head of the CGPA Management Board, told about the role and competence of the board of the joint-stock company, the formation of the personal composition of the board and the organization of its activity.
Sergey Goncharevich, the Managing Partner of the investment company Capital Times, disclosed to participants the issues of the business financing strategy, the company’s capital structure and the cost of raising capital in practice, told about the advantages and disadvantages of publicity, and detailed about the preparation of the company for the initial placement of shares.
Olena Volska, Managing Partner of the EBS Consulting Company About told about the information, which should be given by top management to the Supervisory Board, what useful information can be obtained from the financial statements, how to identify potential problems and risks. Particular interest among the participants was caused by the theme of determining approaches to remuneration system of the company’s top executive management.
