10.04.2020 Holding a general meeting of shareholders in quarantine

On April 8, 2020, one of the most significant online events of the Association took place. The webinar “Holding a general meeting of shareholders in quarantine” was attended by more than 250 representatives of the management of real sector companies, banks, law, consulting and auditing companies, mutual investment institutions, financial institutions, government, and administration, etc. There were 270 registrations before the webinar.

During the event, the Chairman of the Board of the Association Oleksandr Okuniev explained the Law of Ukraine № 540-IX of 30.03.2020. “On Amendments to Certain Legislative Acts Aimed at Providing Additional Social and Economic Guarantees for the Spread of Coronavirus Disease (COVID-2019)” and answered the most burning questions regarding the holding of a general meeting of shareholders and information disclosure in 2020.

We received over 100 questions from participants who had the opportunity to ask them both before and during the webinar. Among the most common problems were:

  • What is a “mass event” and does the general meeting of shareholders fall under this definition?
  • Is it possible to conduct a CLA without violating the law during quarantine, and what requirements should be met? Is it possible to hold an annual meeting in April 2020 (announced before the introduction of quarantine), if the number of all participants in the meeting is less than ten people?
  • What is the administrative responsibility for the actual conduct of the CAP in quarantine?
  • Is it possible for the supervisory board to decide to cancel or transfer the announced annual GAA through the quarantine?
  • At what stage is the development and approval of regulations by the NSSMC on the remote holding of general meetings?
  • Have the terms and rules for submitting the issuer’s annual report changed, as well as the requirements for the content of this report?
