The NSSMC published the draft decision “On Approval of Requirements to Corporate Secretary of a Joint Stock Company” on its website for discussion.

In particular, the document defines who can be a corporate secretary, the requirements for the professional suitability of the corporate secretary, including documentary evidence of the corporate secretary’s special knowledge and skills, and requirements for the corporate secretary’s business reputation, conflict of interest and independence, state supervision and control over compliance with these Requirements.

These requirements must be met by corporate secretaries of:

1) joint-stock companies with securities admitted to trading on an organised capital market or in respect of which a public offer has been made;

2) banks, insurers, non-state pension funds, and other joint stock companies that are enterprises of public interest in accordance with the Law of Ukraine “On Accounting and Financial Reporting in Ukraine”;

3) private joint stock companies with 100 or more shareholders holding ordinary shares in the company.

These requirements may be applied by other joint stock companies.

Our Corporate Secretary Training Program, which we have been running since 2006, allows participants to

• define the role and legal status of the corporate secretary
• define their tasks and the possible range of responsibilities in different companies
• understand the peculiarities of the corporate secretary’s work in banks and/or companies with a significant state share
• find out what a company’s corporate secretary should know and be able to do to perform his or her functions effectively.

At the same time, this Program is also for experienced professionals (lawyers, economists, members of company governing bodies) who want to structure their knowledge and experience and set priorities for further work on building a corporate governance model for their company.

Training format: offline (in the classroom) and online (via the ZOOM platform).

The date of the summer intensive is 10-14 July 2023.
