Among the program participants were representatives of large state defense and energy companies and representatives of small private companies, for whom the issue of effective work of the existing or creation of a new supervisory board became very relevant.<\/p>\n<p style=\"text-align: justify;\"><img decoding=\"async\" loading=\"lazy\" data-id=\"5622\" src=\"http:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/f_0034-199x300.jpg\" alt=\"\" width=\"157\" height=\"234\" class=\"alignleft wp-image-5622\" \/>At the beginning of the first program module, Oleksandr Oukuniev, the Head of the CGPA Management Board, reminded participants about world standards and best practices of corporate governance. Subsequently, participants began to discuss the issues of corporate governance assessment and approaches to building an effective corporate governance model.<\/p>\n<p style=\"text-align: justify;\">The students&#8217; special interest was caused by casework about the work of supervisory boards of companies. There was an opportunity to discuss the decisions taken by the supervisory boards, to express their opinion, to share possible options for the outcome of such decisions. Next, O. Okuniev, together with the participants, discussed the organization of the work of an effective supervisory board: the role of the head of the Board, the planning of the meeting, the decision-making process of the Board and its committees, the role of the corporate secretary in the organizational work of the Boards.<\/p>\n<p style=\"text-align: justify;\">Mark Iwashko, Investment Manager, Director at the Diligent Capital Partners, spoke about the formation and organization of the work of the Board: the procedures for selecting candidates, successful planning continuity, and the balanced Board.<\/p>\n<pre><img decoding=\"async\" loading=\"lazy\" data-id=\"5611\" src=\"http:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018783-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" class=\"size-medium wp-image-5611 aligncenter\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018783-300x225.jpg 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018783-768x576.jpg 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018783-1024x768.jpg 1024w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/pre>\n<p style=\"text-align: justify;\">Danylo Pasko, the Founder of Diligent Capital Partners, told about the company&#8217;s strategic process and its components: the review of mission and values, an external and internal environment review, a SWOT revision, a five-year goal setting, five-year financial modeling, correction of control instruments.<\/p>\n<pre><img decoding=\"async\" loading=\"lazy\" data-id=\"5612\" src=\"http:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018824-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" class=\"size-medium wp-image-5612 aligncenter\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018824-300x225.jpg 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018824-768x576.jpg 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1018824-1024x768.jpg 1024w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/pre>\n<p style=\"text-align: justify;\">The theme of determining the level of remuneration of senior management, represented by Managing Partner and Director of consulting company EBS Olena Volskaya, caused a special interest of the participants. The main factors that determine the remuneration should be: the effectiveness of the financial activities of the company; achieving strategic and operational goals; the scope of the duties of the head; personal qualities and other manager characteristics and typical remuneration levels in the company and in the industry. In addition, the role of the Supervisory Board in relation to investors was discussed, what information should be provided by the top management to the Board and what useful information can be obtained from the financial statements.<\/p>\n<pre><img decoding=\"async\" loading=\"lazy\" data-id=\"5614\" src=\"http:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1019015-300x225.jpg\" alt=\"\" width=\"300\" height=\"225\" class=\"size-medium wp-image-5614 aligncenter\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1019015-300x225.jpg 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1019015-768x576.jpg 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2017\/12\/P1019015-1024x768.jpg 1024w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/><\/pre>\n<p style=\"text-align: justify;\">Managing Partner of Capital Times Investment Company Sergey Goncharevich told about the strategy of financing the business, namely the sources of financing, the indicators of liquidity and financial stability of the company, the main advantages of the partnership with the Private Equity Fund, the investor&#8217;s tools of increasing the value of the company. One of the sources of financing for the company&#8217;s development is IPO. &#8220;In essence, IPO is a transformational process through which the company passes during its development process, moving towards a public business model,&#8221; said S. Goncharevich.
