\"\"CGPA<\/b>, together with its educational center, the Ukrainian Corporate Governance Institute<\/b>, has been an undisputed leader in developing standards for corporate secretaries and professional training for corporate secretaries for many years.<\/p>\n

From June 16 to 20, 2025, a professional development program for corporate secretaries, \u201cCorporate Secretary – 2,\u201d took place. This is not just training, but a unique educational format that combines in-depth analysis, practical case studies, lively dialogue with top experts, and consideration of the most pressing challenges in the field of corporate governance.<\/p>\n

The program was attended by 28 specialists from leading Ukrainian companies<\/b>, including PJSC<\/b> UKRNAFTA, JSC Ukrtransgaz, State Enterprise \u201cForests of Ukraine,\u201d<\/b> PJSC ArcelorMittal Kryvyi Rih, JSC SUMYKHIMPROM, JSC Ukrsibbank, JSC UKRGASBANK, PJSC MTB BANK, JSC BTA Bank, the State Property Fund of Ukraine, and others.<\/b> These are corporate secretaries, heads of corporate governance departments, and chief legal officers \u2014 people who shape corporate culture in companies and interact with supervisory boards at the highest level.<\/p>\n

During five intensive days, program participants listened to presentations by experts in the field of corporate governance, each of whom shared their unique knowledge, practices, and insights.<\/p>\n

The main training block was conducted by Oleksandr Okuniev, Chairman of the Board of Directors of the Corporate Governance Professional Association. His sessions covered a wide range of topics: from the role of the corporate secretary as a driver of reform and a conduit for ethical standards to strategic risk management, the structure and powers of the supervisory board, and succession planning for its members. Issues such as effective interaction with board members, evaluation of its work, cooperation with the executive body, and recent changes in corporate legislation were also discussed.<\/p>\n

A separate session was conducted by Natalia Shevchenko<\/b>, Senior Lawyer at Ernst & Young. She focused in detail on the practical aspects of organizing and conducting general meetings of shareholders in various formats \u2014 in person, remotely, and electronically. Natalia paid particular attention to real-life cases, typical mistakes, and practical solutions that ensure proper legal support for the process, minimize the risk of decisions being appealed, and maximize the efficiency and effectiveness of meetings.<\/p>\n

Volodymyr Igonin, partner and head of the corporate law and M&A practice at Vasil Kisil & Partners, presented an overview of the most pressing challenges for officers of joint-stock companies. In his session, he shared key legal aspects of the activities of officers, including issues of liability, prevention of conflicts of interest, conclusion of related-party transactions, and compliance with new corporate governance requirements in limited liability companies. His presentation was filled with practical examples and advice on how to act in an environment of tightening regulatory requirements and growing expectations for management transparency.<\/p>\n

Maxim Libanov, member of the NSSMC, spoke about the latest decisions adopted by the Commission and commented on their practical impact on companies’ activities. He devoted a significant part of the session to the specifics of the entry into force of the Law on the Abolition of the Commercial Code of Ukraine, explaining how it will affect the corporate environment, the preparation and submission of reports for previous years, and general approaches to regulation. Participants had the opportunity to ask questions and receive comprehensive and practical answers.<\/p>\n

\"\"The practical part of the program was reinforced by Ulyana Semchyshyn<\/b>, Corporate Secretary of PJSC \u201cUKRNAFTA,\u201d who conducted an interactive workshop in the format of a simulated supervisory board meeting. Participants simulated situations where highly complex decisions were discussed and board members were unable to reach agreement or manipulated information. This allowed them to experience the dynamics of real meetings, including challenges that could have serious legal or reputational consequences for the company.<\/p>\n

\"\"By analyzing such scenarios, participants developed response strategies and improved their skills in arguing and managing tense situations on boards of directors. Oksana Loiter<\/b>, corporate secretary of the Supervisory Board of Nova Poshta LLC and head of the corporate secretary service of the NOVA group of companies, shared her experience in the private sector. She shared her vision of an effective corporate governance model in a private company, revealed the specifics of interaction with members of the supervisory board, and emphasized the key role of the corporate secretary as a coordinator between owners, the board, and management. Oksana also shared practical insights that she uses in her daily work to ensure transparency, effective decision-making, and support for the strategic integrity of company management.<\/p>\n

Equally valuable was the session by Vyacheslav Matsievsky<\/b>, Deputy Director of the Corporate Governance Department at JSC \u201cKREDOBANK.\u201d He focused on how to maintain a balance between effective corporate governance and compliance with numerous regulatory requirements in the banking sector. The speaker supplemented his presentation with numerous examples and comments from his many years of practice, which gave participants a better understanding of the real challenges faced by corporate secretaries in banks and provided practical advice for working in a complex regulatory environment.<\/p>\n

\"\"As part of the program, participants worked on group projects \u2014 so-called \u201croad maps\u201d for corporate governance reforms in their companies. On the final day of the training, all groups successfully presented and defended their work during the exam session, demonstrating their deep understanding of the material and high professional level.<\/p>\n

The program ended with a solemn presentation of certificates and a discussion of opportunities for further cooperation.<\/p>\n
