This time, leading lawyers shared their experience, namely: <strong>Ario Dehghani<\/strong>, Counsel, Compliance and Investigation Practice of Sayenko Kharenko, <strong>Oleg Lagodiyenko<\/strong>, Co-founder and CEO of Ethicontrol, <strong>Olga Shenk<\/strong>, Counsel, Dispute Resolution and Compliance Practice of CMS Cameron McKenna Nabarro Olswang-Ukraine, <strong>Artem Krykun-Trush<\/strong>, Lawyer of DLA Piper Ukraine.<\/p>\n<p style=\"text-align: justify;\">The moderator of the event, <strong>Oleksandr Okuniev,<\/strong> Chairman of the CGPA Management Board, noted that the issue of compliance in companies is very closely related to labor law, administrative law, and criminal law, so the lawyers&#8217; opinion is critical in this area.<\/p>\n<p style=\"text-align: justify;\"><strong><img decoding=\"async\" loading=\"lazy\" data-id=\"10568\" src=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/3-300x162.png\" width=\"300\" height=\"162\" class=\"size-medium wp-image-10568 alignright\" style=\"border-width: 10px; margin: 10px;\" caption=\"false\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/3-300x162.png 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/3-768x416.png 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/3-1024x554.png 1024w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/3.png 1777w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Oleg Lagodiyenko<\/strong> reviewed Ukrainian legislation on whistleblower protection and compared it with other countries. He noted that &#8220;Ukraine, due to the recent changes in the law to overcome corruption, has made quite good progress, and in most countries even better, but we still have a lot of work to do to improve it. There is no single comprehensive law on the protection of whistleblowers, and not only concerning corruption&#8221;.<\/p>\n<p style=\"text-align: justify;\">Oleg also noted that there are factors that affect the number of reports on violations, whistleblowers, and their protection:<\/p>\n<ul>\n<li style=\"text-align: justify;\">limited and inaccurate scope of coverage;<\/li>\n<li style=\"text-align: justify;\">a limited number of subjects;<\/li>\n<li style=\"text-align: justify;\">financial guarantees and incentives are insignificant;<\/li>\n<li style=\"text-align: justify;\">difficult access to information about the possibility of reporting;<\/li>\n<li style=\"text-align: justify;\">insufficient protection of anonymity and shortcomings in confidentiality.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><strong><img decoding=\"async\" loading=\"lazy\" data-id=\"10567\" src=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/4-300x164.png\" width=\"300\" height=\"164\" class=\"size-medium wp-image-10567 alignleft\" style=\"border-width: 10px; margin: 10px;\" caption=\"false\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/4-300x164.png 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/4-768x419.png 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/4-1024x558.png 1024w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/4.png 1680w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Olga Shenk<\/strong>, in her presentation &#8220;Employee does not comply with the norms of compliance &#8211; fire cannot be left,&#8221; paid particular attention to the issues of termination of relations between an employee and the company where he works, namely, how in the context of dismissal of an employee the company can and should act. How the company shoukd act in a situation where a violation of the norms of compliance by the employee is identified and proved, what rights have both parties and how the issue of settlement of relations in such a situation is solved in practice in Ukrainian companies.<\/p>\n<p style=\"text-align: justify;\">Olga noted that due to the peculiarities of labor legislation, so far, the most popular way to resolve the issue of dismissing an employee for violation of compliance norms is by agreement of the parties. The speaker also pointed to additional grounds on which an employee could potentially be dismissed for violating the rules of compliance (single gross violation, loss of trust), but stressed that such grounds and the dismissal procedure should be analyzed on a case-by-case basis. Finally, Olga reminded the audience that in cases where the illegality of dismissal is challenged, it is the employer who must prove that the dismissal occurred without violating labor laws; given the current legislation, it is a complex task that requires a professional approach.<\/p>\n<p style=\"text-align: justify;\"><strong><img decoding=\"async\" loading=\"lazy\" data-id=\"10566\" src=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/5-300x185.png\" width=\"300\" height=\"185\" class=\"size-medium wp-image-10566 alignright\" style=\"border-width: 10px; margin: 10px;\" caption=\"false\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/5-300x185.png 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/5-768x473.png 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/5-1024x630.png 1024w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/5.png 1675w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>Ario Dehghani,<\/strong> in his presentation on &#8220;How to protect Ukrainian business from foreign extraterritorial laws,&#8221; shared his knowledge on such issues as:<\/p>\n<ul>\n<li style=\"text-align: justify;\">extraterritorial foreign laws potentially applicable to Ukrainian companies;<\/li>\n<li style=\"text-align: justify;\">practical cases of applying the Foreign Corrupt Practices Act &#8211; FCPA (USA)<\/li>\n<li style=\"text-align: justify;\">practical cases of the application of the Bribery Act &#8211; UK Bribery Act (United Kingdom)<\/li>\n<li style=\"text-align: justify;\">ways to reduce the negative consequences of corruption violations behind extraterritorial laws.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\">Ario has identified several activities, a kind of &#8220;red flags&#8221; for companies that can lead to violations, namely:<\/p>\n<ul>\n<li style=\"text-align: justify;\">unusual payment schemes or financial arrangements;<\/li>\n<li style=\"text-align: justify;\">the level of corruption in the country where they do business;<\/li>\n<li style=\"text-align: justify;\">refusal by business partners to include anti-corruption provisions in their contracts;<\/li>\n<li style=\"text-align: justify;\">&#8220;Recommendations&#8221; from government agencies;<\/li>\n<li style=\"text-align: justify;\">unusually high commissions;<\/li>\n<li style=\"text-align: justify;\">opaque expenses and accounting;<\/li>\n<li style=\"text-align: justify;\">lack of qualification and resources.<\/li>\n<\/ul>\n<p style=\"text-align: justify;\"><img decoding=\"async\" loading=\"lazy\" data-id=\"10565\" src=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/6-300x173.png\" width=\"300\" height=\"173\" class=\"size-medium wp-image-10565 alignleft\" style=\"border-width: 10px; margin: 10px;\" caption=\"false\" srcset=\"https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/6-300x173.png 300w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/6-768x443.png 768w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/6-1024x590.png 1024w, https:\/\/cgpa.com.ua\/wp-content\/uploads\/2020\/09\/6.png 1718w\" sizes=\"(max-width: 300px) 100vw, 300px\" \/>And finally, <strong>Artem Krykun-Trush<\/strong> raised very controversial and complex issues of interaction between business and law enforcement agencies, especially concerning the investigation of offenses related to compliance.\u00a0<\/p>\n<p style=\"text-align: justify;\">In response to the question &#8220;Why is there no cooperation?&#8221;, Artem gave several examples and generalizations of how businesses see law enforcement agencies and how law enforcement agencies see business. What the law enforcement officials think: <em>&#8220;Business only wants to &#8220;profit&#8221;. &#8220;Most businesses are violators&#8221;. &#8220;Business benefits from corruption&#8221;. &#8220;Insufficient legal consciousness of business&#8221;. &#8220;There is no effective, simple, and fast reaction of law enforcement officers&#8221;. &#8220;There is no real criminal prosecution&#8221;. &#8220;For years, a negative reputation of law enforcement agencies was formed (lack of trust)&#8221;. &#8220;Nobody likes&#8221; snitches&#8221; (confidentiality). &#8220;Business is afraid of retaliatory actions&#8221;. &#8220;Business has no experience&#8221;. &#8220;Cooperation is irrational and toxic&#8221;<\/em>. What business thinks: <em>&#8220;The investigation is very long, the trial is even longer&#8221;. &#8220;Unjustified reputation risks&#8221;. &#8220;No confidentiality&#8221;. &#8220;Ineffective (no result)&#8221;. &#8220;We can hardly influence the process&#8221;. &#8220;Dangerous&#8221;. &#8220;Can cause significant losses. &#8220;Scares away customers and partners&#8221;. &#8220;No trust&#8221;.<\/em><\/p>\n<p style=\"text-align: justify;\">Artem noted that today&#8217;s business requires comprehensive services of expertise: it is not enough to be a specialist in compliance and to conduct high-quality internal investigations. Increasingly business requires the continuation of services in the form of protection of the interests of the company as a victim of criminal proceedings.
